# Tax Counsel Contract Location: East Bay

Our client, is a fast growing, privately held, Silicon Valley start up. They are looking to build a great team, talented, and driven individuals who are eager to pursue a career in the online marketing space. Our client is offering an exciting opportunity with huge upside and potential for growth within the company for the right candidate. The Tax Counsel will be responsible for leading initiatives on taxation within the organization. The position will work in all areas of taxation, including real estate, state and local tax, corporate LLC taxes, tax controversy, employee benefits, estate planning, and general taxation. The Tax Counsel will be required to enhance efficiency and compliance associated with tax initiatives, and drive business growth and success.

JOB RESPONSIBILITIES for the Tax Counsel position:

Responsible for providing support and counsel for new and existing business entities.

Responsible for structuring entities to minimize tax liabilities

Work with CPA to structure accounting bookkeeping systems.

Performs analysis of tax accounting and transactions.

Advise on structure of any off-line investments (ie real estate, retail shops, restaurants, etc)

Senior management presentations on findings and recommendations REQUIRED EXPERIENCE AND SKILLS for the Tax Counsel position:

J.D. or LLM and undergraduate degrees earned with superior academic credentials.

Certified Public Accountant preferred 

10 years of experience at either a law firm and/or public accounting firm practicing tax law.

Experience servicing online marketing companies

Knowledge of California State Tax Laws

Demonstrated working knowledge of the tax code and tax regulations (including tax procedure)

Experience with audit process with the IRS

Must have excellent verbal and written communication skills

Must be detail-oriented, responsive, and able to lead multiple projects simultaneously
