Our client is a fast growing, privately held, Silicon Valley start up, who has requested we conduct a search for a General Counsel (Contractor/Consultant). They are looking to build a great team, talented, and driven individuals who are eager to pursue a career in the online marketing space. The General Counsel will provide timely, effective, business-sensitive, and professional advice and other services to help the business achieve its objectives. Counsel will be needed in the following areas: financial, organizational, and compliance. The contractor will also draft, review, analyze, business agreements ranging from internal organization agreements to business contracts with 3rd parties and make representations to Company on legal issues as needed.

JOB RESPONSIBILITIES for the General Counsel
Provides legal guidance to the business on a wide-range of  issues; advises concerning transactions of business involving internal affairs, corporate relations, and regulatory organizations. Represents the company before quasi-judicial or administrative agencies of the government. Prepares and reviews various legal instruments and documents, such as internal contracts, business agreements, leases, purchases, real estate, patent applications, etc. Develop and recommend company policy and position on legal issues. Sets up new business entity and provides counsel on how entities should be structured; act as agent of the organization in these situations. Provide informed cost benefit analysis when identifying risks. Provide legal training and related assistance to senior members of the team, specifically contract review and negotiation. General Counsel, GC, General Counsel Consultant/ Contractor, Corporate Attorney, Contractor Corporate Attorney Requirements.

REQUIRE EXPERIENCE AND SKILLS required for General Counsel (Contractor/Consultant) position: J.D.  and undergraduate degrees earned with superior academic credentials. 5-7 years law firm experience or relevant in-house experience in corporate and technology Admission to and good standing in any state bar or the District of Columbia bar. Large law firm experience is preferred. Experience servicing on line marketing companies knowledge of federal, California State and local laws surrounding joint ventures and reorganizations of all sorts, as well as familiarity with bankruptcy, tax, intellectual property, NDAs, and other related legal areas. Must have excellent verbal and written communication skills. Must be detail-oriented, responsive and able to lead multiple projects simultaneously.
